1. Sponsor 

This Sweepstakes is sponsored by Mayora USA, Inc., 2029 Century Park East, Suite 400N, Los Angeles, CA 90067 ("Sponsor").

2. Eligibility

The Sweepstakes is open only to legal U.S. residents who are at least 18 years of age as of September 19, 2025. Void where prohibited. Employees, officers, directors, and agents of Sponsor, its affiliated companies, advertising and promotion agencies, and their immediate family members or those living in the same household are not eligible to participate.

3. Promotion Period

The Sweepstakes begins on September 19, 2025 at 12:00:00 AM PT and ends on Sunday, September 28, 2025 at 5:59:59 PM PT.

4. How to Enter

During the Promotion Period, eligible participants must: Scan the QR code on approved Kopiko® promotional materials, scan the QR code on the badge of a red shirt Kopiko® brand representative or visit kopikosweepstakes.theaimagency.com. Complete and submit the online form with your full name, email address, and phone number. Limit: One (1) entry per person/email per day. Use of multiple accounts to enter will void all associated entries. Sponsor reserves the right to disqualify any individual suspected of tampering or gaming the entry system.

5. Prizes

Three (3) Grand Prizes: Each winner will receive a $500 VISA® Gift Card. Total Approximate Retail Value (ARV): $1,500 No substitution or transfer of prize permitted except at the sole discretion of Sponsor. Sponsor reserves the right to substitute a prize of equal or greater value.

6. Winner Selection & Odds

On September 26, 2025, at or around 5:00 PM PT, one (1) winner will be selected in a random drawing from all eligible entries received that day. On September 27, 2025, at or around 2:00 PM PT, one (1) winner will be selected in a random drawing from all eligible entries received that day. On September 28, 2025, at or around 6:00 PM PT, one (1) winner will be selected in a random drawing from all eligible entries received that day. The odds of winning depend on the total number of eligible entries received on the applicable day.

7. Winner Notification

Winners will be notified by email, text message, and/or phone call within approximately fifteen (15) minutes after the applicable drawing. Winners are not required to be present at the event to claim their prize. Each winner must confirm acceptance of the prize within one (1) hour of notification (or by the end of the next business day if notified after event hours), present valid proof of U.S. residence, and complete and return an affidavit of eligibility and liability/publicity release. Failure to timely confirm, provide required documentation, or return the signed affidavit may result in disqualification and selection of an alternate winner.

8. Acceptance of Official Rules and Decisions

By entering, Participants agree to be bound by these Official Rules and the decisions of the Sponsor, which are final.

9. Sweepstakes Consent

By entering, Participants agree that Sponsor and/or its agency may use your name, likeness, and/or image in any manner and in any medium for promotional purposes without additional compensation, unless prohibited by law, including, but not limited to, use of photos and/or video of Participant in commercials, print ads, social media and/or posting in Participants’ list of winners, except where prohibited by law; and Sponsor and its agency may be required to disclose the winner's address to state regulatory authorities.

10. Non-Responsibility for Entries

Sponsor is not responsible for late, lost, incomplete, misdirected, or damaged entries.

11. Final Authority

In the event of any dispute, discrepancy or ambiguity with this Sweepstakes promotion, Sponsor reserves the right to make the final determination regarding the application and interpretation of the Sweepstakes promotion.

12. Not Transferable

This Sweepstakes promotion and offer is not redeemable for cash or transferable and void where prohibited by law. 

13. Privacy

Information submitted will be used in accordance with Sponsor’s Privacy Policy at: www.KopikoUS.com/privacy-policy

14. Limitation of Liability

Neither Sponsor nor its Agency is responsible for technical errors, internet connection issues, human error, unauthorized access, or any and all other cause that may compromise the integrity of the Sweepstakes. If, for any reason, the Sweepstakes cannot be conducted as planned, Sponsor reserves the right to cancel, modify, or suspend the Sweepstakes. To the maximum extent permitted by law, Participants release Sponsor and the Kopiko® Focus™ Coffee brand, its agents and agency, including but not limited to, Alternative & Innovative Marketing, LLC, its affiliates and subcontractors (the “Released Parties”) from any liability relating to this Sweepstakes promotion, including, but not limited, the product acceptance, possession, use or misuse. The Released Parties are not responsible for any damages or losses resulting from the purchase and consumption of Kopiko® Focus™ Coffee and/or the use of the Sweepstakes prize. By entering this Sweepstakes, each Participant agrees to and hold harmless the Released Parties from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such Participant's participation in this Sweepstakes and/or Participant’s acceptance, possession, use, or misuse of the Sweepstakes prize; or (ii) consumption of Mayora’s products, to the maximum extent allowed by law. NOTWITHSTANDING ANYTHING TO THE CONTRARY, IN NO EVENT WILL THE RELEASED PARTIES BE LIABLE TO ANY PARTICIPANT OR ANY THIRD PARTY FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOSS OF REVENUES, LOST PROFITS, LOST CAPITAL OR OVERHEAD, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WHETHER OR NOT PARTICIPANT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 15. Disputes All disputes will be governed by the laws of the State of California, without regard to conflict of law rules. Any claims will be resolved individually and not via class action. Any legal action shall take place in Los Angeles County, California. As a condition of participating in this Sweepstakes promotion, to the fullest extent allowed by law, Participant agrees that any and all disputes, claims, causes of action or controversies arising out of or in connection with this Sweepstakes promotion, shall be resolved in arbitration individually and without resort to collective, class, or aggregate action. By registering and/or submitting an Entry, each Participant irrevocably waives, to the greatest extent allowed by law, any right to seek and/or obtain rescission and/or equitable and/or injunctive relief. Further, in any such dispute, under no circumstances will Participant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, or consequential damages, including reasonable attorneys’ fees, other than Participant’s actual out-of-pocket expenses (i.e. costs associated with participating in this Promotion), and participant further waives all rights to have damages multiplied or increased.

16. Enforceability

In case any one or more of the provisions or parts of a provision contained in these Official Rules shall for any reason be held to be invalid, illegal or unenforceable in any respect in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other provision or part of a provision of these Official Rules or the validity or enforceability of such provision of portion thereof in any other jurisdiction; rather, these Official Rules shall be reformed and deemed to be and construed in any such jurisdiction as if such invalid or illegal or unenforceable provision or part of a provision had never been contained herein or therein, and such provision or part shall be reformed so that it would be valid, legal and enforceable to the maximum extent permitted, in such jurisdiction.
